Contest Overview
The contest (the “Contest”) is organized by The Northern Miner, a subsidiary of EarthLabs Inc. (TSX-V: SPOT).
The Total Prize Pool is 289 one-ounce gold coins valued at approximately CAD$1,335,637, comprised as follows:
- Grand Prize: 217 one-ounce gold coins (~CAD$1,000,000)
- 12 Monthly Bonus Prizes: 72 one-ounce gold coins total (6 coins or ~CAD$27,729 per prize)
The Grand Prize and each Bonus Prize will be located in one or more provinces or territories of Canada.
Gold Valuation Details:
All valuations are based on the spot market gold price as of May 28, 2025 (USD$3,342.65 per coin) and a CAD/USD exchange rate of 1.3826, resulting in a per-coin value of CAD$4,621.55. Coins are one-ounce gold and are not intended for circulation under the Royal Canadian Mint Act.
Treasure Format:
Each prize is tied to a physical Treasure Box hidden somewhere in Canada containing inside a unique alphanumeric code.
Redemption:
Participants must locate the hidden Treasure Box, as provided for in the Official Rules and Regulations, in order to redeem the Grand Prize or a Bonus Prize.
Redemption requires:
- Submission of the unique alphanumeric code via the submission link.
- Upload of a photo showing the claimed Treasure Box or location
- Provision of full name, valid email address, and telephone number for verification purposes
Acceptance of the Official Rules and Regulations.
The first eligible Participant to correctly submit a valid code and meet all of the requirements in the Official Rules and Regulations as determined by the Organizer in its sole and absolute discretion, will be eligible to claim the relevant Prize.
The Contest is open to individuals who reside in Canada and who are (i) 18 years of age or older, or (ii) of legal age in the province or territory in which the individual resides.
All winners are required to complete a winner’s declaration and release and may be subject to identity verification.
Contest Period:
The Contest will start on August 13, 2025 and will continue until 12:00 midnight on December 31, 2026. All claims must be made by 12:00 midnight, December 31, 2026. If a claim is not made by December 31, 2026, the claim will be forfeited and the prize will not be awarded.
2) Eligibility
The Contest is open to individuals who reside in Canada and who are (i) 18 years of age or older, or (ii) of legal age in the province or territory in which the individual resides.
No purchase is necessary to participate in the Contest or to win the Grand Prize or a Bonus Prize.
A Participant in the Contest must accept the Official Rules and Regulations in order to participate in the Contest and to win a Prize
Employees, officers, contractors, and immediate family members of EarthLabs Inc., The Northern Miner, and all affiliated brands and sponsors are not eligible to participate in the Contest or to win any Prize.
Definitions
“Organizer” means the Northern Miner and the Organizer’s affiliates means EarthLabs Inc. and its media channels, including CEO.CA Technologies Ltd. (“CEO.CA”), MINING.COM, Canadian Mining Journal, DigiGeoData Ltd., EarthLabs Expeditions, and EarthLabs CrashLabs Podcast.
“Participant” means an individual who is eligible to participate in the Contest and who has agreed and consented to be bound by the Official Rules and Regulations and who has agreed and consented to the collection, use, disclosure and management of personal information and to the receipt of commercial electronic messages as set out below.
“Released Parties” means:
- a) The Organizer and its affiliates and the officers, directors, employees, volunteers, agents and contractors of each of the Organizer and its affiliates, and
b) Owners or occupiers of the property that the Participant enters and/or searches for a Treasure Box and their respective officers, directors, employees, volunteers, agents and contractors.
“Rules” means these Official Rules and Regulations and other requirements or prohibitions of the Contest, including any modifications or changes thereto.
“Website” means https://treasure.northernminer.com.
3) Agreement to be Legally Bound
By participating in this Contest, each Participant agrees to be bound by: (i) the Official Rules and Regulations, (ii) any rules, requirements, prohibitions or restrictions that a property owner or occupant of the property may have in place for entry onto and search of the property for a Treasure Box, and (iii) all decisions of the Organizer.
4) Personal Information and Commercial Electronic Messages
By participating in this Contest, a Participant agrees to and consents to the Organizer and its affiliates collecting, using, disclosing and managing their personal information (including name, contact information, location, payment information, browsing activity) for purposes of:
- the administration of the Contest, to make decisions related to the Contest, to the awarding of a Prize, and for publicity purposes,
- verification of identity and prevention of fraudulent use of our platforms, products, and services,
- processing and responding to inquiries, and provide informational services,
- identifying user preferences and needs,
- opening and managing an account or subscription,
- delivering requested products and services,
- processing a purchase transaction,
- enhancing, modifying, personalizing or otherwise improving our services and communicating for the benefit of our users and website visitors,
- sending out information about products and services,
- ensuring a high standard of service to our users,
- meeting regulatory and legal requirements,
- enhancing the security and performance of our network and information systems,
- enforcing the terms and conditions of the respective websites.
We use our own and third-party technology to collect information about your device. This encompasses device type, device ID, operating system, browser and screen characteristics as well as IP address and GPS location. We combine information we collect about you with data obtained from third parties (social media platforms, advertising partners, data providers, etc.) in order to improve personalized content and advertising.

The Participant further agrees and consents to the receipt of commercial electronic messages from the Organizer and its affiliates for purposes of informing the Participant about the Organizers and its affiliates and their products and to receive newsletters, reports, press releases, invitations to or notices of events, and for similar marketing purposes

5) How to Play
Clue Access & Distribution
Grand Prize
A multi-stanza poem will be published on https://treasure.northernminer.com. This poem contains the core clues to locate the Treasure Box containing a unique alphanumeric code that is required to claim the Grand Prize of $1,000,000 in gold coins.
A Participant must accept and agree to the Official Rule and Regulations of the Contest before viewing the poem. No purchase is necessary to participate.
Bonus Prizes
Each Bonus Prize will be associated with its own unique poem published on https://treasure.northernminer.com. Bonus Prize poems and clues will be released each month.
Bonus Clues
Bonus clues for both the Grand and the Bonus Prizes may be distributed through EarthLabs media channels:

Subscribers to The Northern Miner and EarthLabs other media channels will have access to bonus clues on the day of their release and to a consolidation of the bonus clues. Non-subscribers may request a bonus clue by emailing treasure@northernminer.com on or after the day of the release of the bonus clue.
All Treasure Boxes are hidden within Canada. They will be physically accessible on foot and are located on public property. Participants will not require any special gear, digging tools, metal detectors, or similar equipment. Participants should dress appropriately for the environment and conditions. Participants must conduct their search in a safe, respectful, and non-commercial manner.
Participants are strictly prohibited from using heavy equipment, digging tools, or similar devices; metal detectors, where prohibited by law or regulation; or operating drones in restricted airspace or protected areas. Commercial searching operations are not permitted under any circumstances. This commercial search operations prohibition includes, but is not limited to, organized expeditions, paid tours, or any activity for commercial gain. Participants may not sell or distribute clues, maps, or other search-related materials.
Participants must not search while under the influence of alcohol, cannabis, or any substance that could impair judgment or reaction time. Reckless or dangerous searching behaviour is not permitted. This prohibition includes, but is not limited to, entering hazardous terrain, searching in extreme weather, failing to wear appropriate clothing or footwear, or engaging in any conduct that could damage property or the environment.
Participants are not permitted to trespass. Participation in the Contest does not excuse unlawful entry or provide permission to access land without proper authorization. If a Participant enters property unlawfully or causes damage to the property or the environment, the Participant is fully responsible for such damage and agrees to indemnify the Organizer and all Released Parties for any resulting harm or liability.
Any conduct that endangers people, disrespects property, or undermines the integrity of the Contest may result in immediate disqualification at the sole discretion of the Organizer.
Participants enter property at their own risk and search the property for the applicable Treasure Box at their own risk. The Organizers and Released Parties are not liable for any accident, death, injury, damage, loss or other harm incurred as a result of the Participant entering the property and searching the property for the Treasure Box. Participants must comply with applicable laws and with any requirements of the property owner or occupant of the property.
Participants are solely responsible for any costs or expenses incurred to participate in, arising from or associated with participation, such costs and expenses include but are not limited to the costs of travel to and from any location, the costs of any accommodation, meals or transportation, the costs of any clothing, equipment or other items that the Participant purchases, and the costs of any damaged or lost equipment, clothing or other items.
Participants are solely responsible for any damages that they may cause to the property or any loss incurred by the property owner or occupier, including any costs related to carrying out remedial work, and indemnify the Organizer and the Released Parties for any damage, loss or other harm resulting from the Participant’s participation in the Contest, including entering the property and searching the property. Participants may not interfere with any other Participant.

Prize Conditions: Prizes must be accepted as awarded. No substitutions or cash alternatives allowed. Prizes are non-transferable. A Participant may claim more than one Prize (Grand or Bonus Prizes).
Prize Claimants are solely responsible for any applicable taxes, duties, or fees related to the prizes, including in the province or territory of their residence.
Claimant Notification
Redemption Process
Participants must locate the hidden Treasure Box, as provided for in the Official Rules and Regulations, in order to redeem the Grand Prize or a Bonus Prize.
Redemption requires:

- Acceptance of the Official Rules and Regulations.
The first eligible Participant to correctly submit a valid code and meet all of the requirements in the Official Rules and Regulations as determined by the Organizer in its sole and absolute discretion, will be eligible to claim the relevant Prize. All winners are required to complete a winner’s declaration and release and may be subject to identity verification.
In the event of a duplicate or disputed code claim, the Organizer reserves the right to require:
- Timestamped proof of discovery,
- Photo/video evidence of the Treasure
- Box in situ,
- Written description of the find,
- Metadata verification if applicable.
The Organizer’s decision on all prize claims is final and binding.
Winner Publicity
By claiming a Prize, all Prize Claimants agree to and consent to the use of their name and/or photograph, and/or place of residence, without further compensation, in any publicity carried out by the Organizer in perpetuity and in any media worldwide. Prize Claimants agree and consent, amongst other activities, to participate in promotional activities and to allowing their name, likeness and story to be published in The Northern Miner and EarthLabs other media outlets and platforms and in marketing materials. Refusal to participate without valid reasons (as determined by the Organizer in its sole and absolute discretion) may result in disqualification and forfeiture of the Prize.
Completing the applicable Prize claim process in a timely manner is the sole responsibility of potential Prize Claimant. If any Prize is returned as undeliverable, such Prize will be forfeited.
Verification
If it is discovered by the Organizer (using any evidence or other information made available to or otherwise discovered by the Organizer) that any person has attempted to: (i) exceed any of the limits or restrictions provided in these Rules; (ii) use multiple names, identities, email addresses, (iii) disrupt or participate in the Contest in any fraudulent or misleading way and/or (iv) participate in the Contest in any other manner that is disruptive, abusive, fraudulent, misleading, deceptive, unfair or inconsistent with the letter and spirit of these Rules (all as determined by Organizer in its sole and absolute discretion); then the Organizer may in its sole and absolute discretion disqualify the person from the Contest and, for greater certainty, if disqualified such person forfeits any and all rights to a Prize.
All Participants and Contest-related information are subject to verification at any time and for any reason. The Organizer reserves the right, in its sole and absolute discretion, to require proof of compliance with these Rules (including, without limitation, proof of identity and/or eligibility) in a form acceptable to the Organizer (including, without limitation, government-issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Contest-related information submitted or received (or purportedly submitted or received) for the purposes of this Contest; and/or (iii) for any other reason the Organizer deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Organizer within the timeline specified by the Organizer may result in disqualification in the sole and absolute discretion of the Organizer.
All information requested by and/or supplied to the Organizer for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. The Organizer reserves the right, in its sole and absolute discretion, to disqualify any Participant should the Organizer deem (at its sole and absolute discretion) that such Participant at any stage supplied untruthful, incomplete, inaccurate or misleading information (as determined by the Organizer in its sole and absolute discretion).
Time will be based on the time in Toronto, Ontario and the time of receipt will be based on the time received by the Organizer in its office and as recorded by its computer or server.
6) General Rules
Unclaimed prizes will be forfeited and will not be awarded.
The Organizer is not responsible for any change of email address, mailing address and/or telephone number by Participants.
All Contest-related information becomes the property of the Organizer and, as applicable, no Contest-related information will be returned.
The Organizer assumes no responsibility for lost Contest-related Information or for any failure of the Website during the Contest, for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, access providers, computer equipment, software, programs, failure of any email or other information to be received by the Organizer on account of technical problems or traffic congestion on the Internet, on the Website, or any combination thereof.
The Organizer is not responsible if a Participant is unable to access the Website on their mobile device, computer or other device.
The Organizer reserves the right at its sole and absolute discretion, to disqualify any Participant (and all of their Prize claims).
The Organizer reserves the right, in its sole and absolute discretion, to modify or suspend the Contest should a virus, “bug”, tampering, unauthorized intervention, health risks or governmental restrictions, fraud or failure of any kind whatsoever, or any other cause beyond the reasonable control of the Organizer, corrupt the security or proper administration of the Contest.
The Organizer, in its sole and absolute discretion, reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.
Prize notification messages and all other Contest-related materials are the property and intellectual property of the Organizer, and may not be used for any other promotional, commercial or other purposes without the prior written authorization of the Organizer.
Participants are solely responsible for standard data use and service rates that apply, which vary according to the applicable mobile device package and mobile service provider (please contact your mobile service provider for details before participating in this Contest using a compatible mobile device).
Any attempt to deliberately damage the Website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, the Organizer reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.
By participating in this Contest, to the maximum extent permitted by applicable law each Participant agrees (and agrees to confirm in writing) and hereby: (i) releases the Released Parties from any and all liability, loss or damage that they may incur in connection with their participation in this Contest and, if applicable, with respect to the awarding, receipt, possession and/or use or misuse of a Prize, notifications in respect of Prizes (including without limitation any erroneous notification); (ii) agrees that, without limiting the generality of the foregoing and for greater certainty, under no circumstances will they be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, consequential, or any other damages; (iii) agrees that all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (iv) agrees that any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding legal fees and court costs.
If due to printing, production, online, internet, computer or other error of any kind more Prizes are claimed than intended to be awarded according to these Rules (at any prizing level), or in the event that due to such error, making the number of valid Prize claims is greater than the number of Prizes available under these Rules (at any prizing level), a random draw will be held after the Contest closes from amongst all eligible Prize Claimants to award the remaining number of Prizes (as determined by the Organizer at its sole and absolute discretion on the basis of its official records). In no event will the Organizer be liable for more than the stated number of Prizes in these Rules.
In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Website, television, print, radio, digital, online or any other type of advertising or other types of communications (including without limitation the abbreviated version of these Rules that appear on such advertising or other types of communications); the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law and in no event will the Organizer be liable for such discrepancy or inconsistency. Without limiting the generality of the foregoing, in the event the Organizer becomes aware of any such discrepancy or inconsistency, the Organizer will publish a clarification or correction notice in a location and/or media that is appropriate based on the nature of the inconsistency or discrepancy (such clarification or correction notice may, but for certainty is not required to, consist of a revised version of these Rules and/or be communicated via the Website), all as determined by the Organizer in its sole and absolute discretion.
To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of Participants, the Organizer or any of the other Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to these Rules or relating to this Contest). Notwithstanding anything to the contrary herein, the domestic laws of the Province of Québec and the federal laws of Canada applicable therein shall apply to residents of the Province of Québec
Standard Contest Rules
THESE RULES ARE THE STANDARD TERMS AND CONDITIONS APPLICABLE TO THE CONTESTS AND GIVEAWAYS (EACH A “CONTEST” AND COLLECTIVELY THE “CONTESTS) ADMINISTERED BY CHML-AM. THE CONTESTS ARE INTENDED TO BE CONDUCTED IN THE PROVINCE OF ONTARIO ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO APPLICABLE CANADIAN LAW. NO PURCHASE IS NECESSARY. VOID IN WHOLE OR IN PART WHERE PROHIBITED BY LAW. ENTRY IN THE CONTESTS CONSTITUTES ACCEPTANCE OF THESE CONTEST RULES (THE “CONTEST RULES”).
- To be eligible to enter a Contest, an individual must:
- be a legal resident of, and the age of majority in, the province of Ontario.
- if applicable, be a member of CHML Insiders (the “Club”). To join the Club, log on to 900chml.com and complete the online registration form in full. All previously registered members of the Club are eligible to enter;
- if applicable, be the sole owner of all right, title and interest (including copyright) in and to the Work (as defined below) submitted in connection with the Contest; and
- if applicable, have a valid Facebook, Twitter or Instagram account at the time of entry.
Employees of Corus Premium Television Ltd. operating CHML-AM (the “Station”) and Corus Entertainment Inc., its parent, affiliates, subsidiaries, related companies, successors and assigns (collectively “Corus”), related advertising and promotional agencies and Contest prize providers (all such entities being individually and collectively referred to hereafter as the “Sponsors”), a person who has been confirmed as a winner of one (1) Corus administered contest within one (1) month preceding the indicated Contest start date and/or a household member of any of the above are not eligible to enter or participate in the Contests unless otherwise specified by the Sponsors.
The Sponsors shall have the right at any time to require proof of identity and/or eligibility to participate in the Contests. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to the Sponsors for the purpose of the Contests must be truthful, complete, accurate and in no way misleading. The Sponsors reserve the right, in their sole discretion, to disqualify any entrant should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information.
- CONTEST PERIODS. Each Contest entry period (each a “Contest Period”) shall start and end as announced on the CHML-AM broadcast (the “Program”) and/or as indicated on 900chml.com (the “Contest Website”) after which time the Contest will be closed and no other entries shall be accepted.
- HOW TO ENTER.
- There is no purchase necessary to enter a Contest. To enter prior to the end of an applicable Contest Period, listen to the Program daily, (with the exception of statutory holidays), log-in to Facebook and view AM900 CHML Facebook page (facebook.com/AM900CHML) or follow @AM900CHML on Twitter and, when cued, in accordance with the direction given during the Program or as communicated on Facebook or Twitter: (i) visit the Contest Website and complete and submit the Contest entry form as instructed; (ii) call the announced Station phone number to enter; (iii) download the free radio station App; or (iv) enter as otherwise instructed. Entries must be received prior to the end of the applicable Contest Period to be eligible for entry.
- Limit of one (1) entry per person per Contest Period, unless otherwise indicated. In the case of multiple entries, only the first eligible entry will be considered and the remainder will be void.
- All entries, including, if applicable, any story and/or photograph submitted in connection with the Contest entry (the “Work”), become the sole property of the Sponsors and will not be returned for any reason. Entries must be received prior to the indicated Contest Period entry deadline. Entries will be declared invalid if they are late, illegible, incomplete, damaged, irregular, mutilated, forged, garbled or mechanically or electronically reproduced. No communication or correspondence will be exchanged with entrants except with those selected as a potential Contest winner.
- If Work has been submitted by an entrant in connection with the Contest, each entrant agrees that the Sponsors may post the Work on Sponsor owned or controlled websites, viewing galleries and/or social media platforms. Each entrant further represents and warrants that: (i) the Work does not contain any material that is libelous, defamatory, profane or obscene; (ii) the Work is original and all right, title, and interest (including copyright) therein and thereto is owned and/or controlled by the entrant to the full extent necessary to enable the Sponsors to use the Work as contemplated by these Contest Rules; and (iii) the Work does not infringe upon the intellectual property or other statutory or common law rights of any third party.
- Entries received online shall be deemed to be submitted by the authorized account holder of the e-mail address, Facebook or Twitter account associated with the entry, as applicable. For the purposes of these Contest Rules, “authorized account holder” of an e-mail address, Facebook or Twitter account is defined as the natural person who is assigned to an e-mail address, Facebook or Twitter account by an Internet access provider, on-line service provider, Facebook, Twitter or other organization responsible for assigning e-mail addresses, Facebook or Twitter accounts for the domain or account associated with the submitted e-mail address, Facebook or Twitter account. Each selected entrant may be required to provide Corus with proof that the selected entrant is the authorized account holder of the e-mail address, Facebook or Twitter account associated with the winning entry.
- Each Contest prize shall have an approximate retail value between one Canadian dollar (CDN $1.00) and one thousand Canadian dollars (CDN $1,000.00) and shall be announced and described on the Program, Facebook, Twitter and/or the Contest Website at the beginning of each Contest Period. Winners shall not be entitled to receive the difference between the actual prize value and the approximate prize value.
- Winners will be contacted by the Sponsors with instructions on how to claim the prize.
- Prizes must be accepted as awarded and cannot be transferred, assigned, substituted or redeemed for cash, except at the sole discretion of the Sponsors. Any unused portion of a prize will be forfeited and have no cash value. The Sponsors reserve the right, in their sole discretion, to substitute a prize of equal or greater value if a prize (or any portion thereof) cannot be awarded for any reason.
- The Sponsors shall not assume any liability for lost, damaged or misdirected prizes.
- In the case of concert or event tickets, if an artist or any of his/her band members are unable to attend the applicable concert or event or a concert or event is cancelled for any reason whatsoever, the prize and any prize portions shall be deemed fulfilled and such prize or prize portions will not be substituted, except in the sole discretion of the Sponsors.
- In the case of gift cards or gift certificates, the terms by which the gift cards or gift certificates may be redeemed are governed by the applicable retailer or service provider. Corus is not responsible for administering or ensuring compliance with the terms and conditions of the gift cards or gift certificates.
- PRIZE CONDITIONS.
- All incidental costs and expenses not specifically referred to herein as part of the prize description (the “Expenses”) are the sole responsibility of the prize winner and/or guest(s), where applicable. All prize elements are subject to availability and substitution. The winner shall not seek reimbursement for the Expenses from the Sponsors.
- WINNER SELECTION.
- Following the end of the applicable Contest Period, Corus will select one (1) entrant (or more, if applicable, based on the number of prizes available to be won) by a random draw from all eligible entries received during the Contest Period, unless otherwise indicated. Each entrant shall be eligible to win only one (1) prize. The odds of being selected as a potential winner are dependent upon the number of eligible entries received for the Contest. Any remaining entries will not be carried over for entry in the next Contest.
- Before being declared a winner, the selected entrant(s) shall be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered during a pre-arranged telephone call or by e-mail, to comply with these Contest Rules and may be required to sign and return the Release (described below).
- If the selected entrant does not respond within three (3) business days of notification, he/she will be disqualified and will not receive a prize and another entrant may be selected (as determined by Corus in its sole discretion) until such time as an entrant satisfies the terms set out herein. The Sponsors are not responsible for the failure for any reason whatsoever of a selected entrant to receive notification or for the Sponsors to receive a selected entrant’s response.
- If, as a result of an error relating to the entry process, drawing or any other aspect of a Contest, there are more selected entrants than contemplated in these Contest Rules, there will be a random draw amongst all eligible prize claimants to award the correct number of prizes.
- Winners (and if applicable, any guest of the winner) may be required to execute a legal agreement and release (“Release”) that confirms his or her: (i) eligibility for the Contest and compliance with these Contest Rules; (ii) acceptance of the prize as offered; (iii) release of the Sponsors, if applicable, Facebook and Twitter, and each of their respective parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, administrators, licensees, representatives, advertising, media buying and promotional agencies (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, participation in any Contest-related activity or the acceptance, use, or misuse of any prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) grant to the Sponsors of the unrestricted right to produce, reproduce, convert, publish, broadcast, communicate by telecommunication, exhibit, distribute, translate, adapt, and otherwise use or re-use the submitted Work, his or her name, image, likeness, comments, voice and/or biography in any and all media now known or hereafter devised in connection with publicity related to the Contest. The executed Release(s) must be returned within two (2) business days of the date indicated on the accompanying letter of notification or verification as a winner, or the selected individual(s) will be disqualified and any rights he or she may have to the prize will be forfeited.
- INDEMNIFICATION BY ENTRANT. By entering a Contest, each entrant releases and holds the Releasees harmless from any and all liability for any injuries, loss or damage of any kind to the entrants or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize, participation in the Contest, any breach of the Contest Rules, or in any prize-related activity. Each entrant agrees to fully indemnify Releasees from any and all claims by third parties relating to the Contest, without limitation.
- RIGHTS CLEARANCE. By providing the Work to the Sponsors in connection with the Contest (if applicable), each entrant shall retain all right, title and interest (including copyright) in and to the Work, and shall grant to the Sponsors a worldwide, gratuitous, irrevocable, and exclusive licence to copy, use, modify, reproduce, display, adapt and transmit the Work for use in all media now known or hereafter devised in perpetuity beginning on the date of entry, including, but not limited to, in connection with the administration, promotion and exploitation of the Contest. The entrant hereby confirms that the Work is an original work, solely created by the entrant, and that no third party participated as an author, co-author, photographer or otherwise in the creation of the Work or any part thereof. The Sponsors assume no responsibility for any claims of infringement of rights to copyright, privacy and/or personality, and all such liability shall remain with the entrant. In addition, each entrant represents to Sponsors that the Work does not infringe any copyright interest of any third party and that the Work is not defamatory or obscene and does not violate any laws relating to hate speech or otherwise. Sponsors reserve the right to exclude any Work on the basis of concerns relating to the rights of third parties, including but not limited to privacy, copyright, defamation, rights of personality, obscenity or hate speech, as determined by Sponsors in their sole discretion.
- LIMITATION OF LIABILITY. The Sponsors assume no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete entries, notifications, responses, replies or any Release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an entry. The Sponsors are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the administration of the Contest. The Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsors are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing or otherwise. The Sponsors are not responsible for any injury or damage to any entrant or to any computer related to or resulting from participating or downloading materials related to the Contest. Entrant assumes liability for injuries caused or claimed to be caused by participating in the Contest, or by the acceptance, possession, use of, or failure to receive any prize. The Sponsors assume no responsibility or liability in the event that the Contest cannot be conducted as planned for any reason, including those reasons beyond the control of the Sponsors, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Contest and/or the Contest Website.
- By participating in a Contest, each entrant agrees to be bound by the Contest Rules. Entrants further agree to be bound by the decisions of the Sponsors, which shall be final and binding in all respects. The Sponsors reserve the right, in their sole discretion, to disqualify any entrant found to be: (a) violating the Contest Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Contest, the Contest Website, or any related promotional website; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any the Sponsor’s property or service; and/or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR ANY RELATED WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING BUT NOT LIMITED TO CRIMINAL PROSECUTION. If applicable, winners (and guests, if applicable) must at all times behave appropriately when taking part in the prize and observe the Contest Rules and any other rules or regulations in force at any prize-related locations. The Sponsors reserve the right to remove from any prize-related locations, any winner and/or guest who breaks such rules and/or fails to behave appropriately and to disqualify such winner and/or guest.
- PRIVACY / USE OF PERSONAL INFORMATION.
- By participating in the Contest, each entrant: (i) grants to the Sponsors the right to use his/her personal information provided when he/she enters the Contest and the Work (if applicable) (collectively the “Personal Information”) for the purpose of administering the Contest, including but not limited to contacting and announcing the winners and coordinating the provision of the Contest prize; (ii) grants to the Sponsors the right to use his/her Personal Information for publicity and promotional purposes relating to the Contest in any and all media without further compensation unless prohibited by law; and (iii) acknowledges that the Sponsors may disclose his/her Personal Information to third-party agents and service providers of the Sponsors in connection with any of the activities listed in (i) and/or (ii) above.
- Corus will use each entrant’s Personal Information only for identified purposes, and protect each entrant’s Personal Information in a manner that is consistent with the Corus Privacy Policy at: 900chml.com/privacy.
- INTELLECTUAL PROPERTY. All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by the Sponsors and/or their affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
- TERMINATIO Corus reserves the right, in their sole discretion, to terminate any Contest, in whole or in part, and/or modify, amend or suspend a Contest, and/or the Contest Rules in any way, at any time, for any reason without prior notice.
- These are the official Contest Rules. The Contests are subject to applicable federal, provincial and municipal laws and regulations. The Contest Rules are subject to change without notice in order to comply with any applicable federal, provincial and municipal laws or the policy of any other entity having jurisdiction over the Sponsors and/or the Contests. All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest Rules or the rights and obligations as between the entrant and the Sponsors in connection with the Contests shall be governed by and construed in accordance with the laws of the province of Ontario including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws.
- LANGUAGE DISCREPANCY. In the event of any discrepancy or inconsistency between the terms and conditions of the Contest Rules and disclosures or other statements contained in any Contest-related materials, including but not limited to the Contest entry form, or point of sale, television, print or online advertising, the terms and conditions of the Contest Rules shall prevail, govern and control.
- SOCIAL MEDIA. This Contest is in no way sponsored, endorsed or administered by any social media platforms on which the Contest may have been promoted and/or publicized, including but not limited to Facebook and/or Twitter. Any personal information provided in connection with the Contest is being provided to Corus and not to Facebook and/or Twitter. Any questions or comments regarding a Contest must be directed to Corus and not to any of the social media platforms on which the Contest may have been advertised or administered.
